These Terms and Conditions ("Agreement") are entered into between [Your Brand/Influencer Name] ("Brand" or "Company") and the influencer ("Influencer").
By entering into this Agreement, the Influencer agrees to promote, endorse, and/or create content related to the Brand's products, services, or brand image as outlined in the agreed-upon collaboration.
The Influencer's compensation for their services shall be outlined in a separate written agreement, which will include payment terms, rates, and any additional compensation (e.g., free products, affiliate marketing).
The Influencer shall create and deliver all content in accordance with the agreed-upon schedule and guidelines. All content should be high quality and in alignment with the Brand's image and values.
The Influencer retains ownership of any original content created but grants the Brand a non-exclusive, worldwide, royalty-free license to use, modify, and distribute the content for promotional purposes.
The Influencer agrees to comply with all applicable laws and regulations related to advertising and endorsements, including but not limited to disclosing their relationship with the Brand in accordance with FTC guidelines.
Both parties agree to keep all confidential information, including trade secrets and proprietary information, confidential and not disclose it to third parties.
Either party may terminate this Agreement with written notice if the other party breaches its obligations. Upon termination, all unpaid compensation shall be settled promptly.
Any disputes arising under this Agreement shall be resolved through negotiation and mediation. If resolution is not possible, the matter shall be submitted to binding arbitration in accordance with [Arbitration Rules].
This Agreement is governed by and construed in accordance with the laws of [Your State/Country].
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings, whether written or oral.
